湘莲骨灰安葬之日，矞云出现向雪岩认错，雪岩大感欣慰，却不防矞云突施杀手，古迎尊为救雪岩身死。雪岩痛心矞云所为，深感愧对故人，放矞云离去。阜康钱庄因资金周转不灵出现挤兑，雪岩方知矞云出借300万巨款之事，梅勒出现要雪岩用造船图则换取阜康钱庄安全，被雪岩斥退，雪岩终于发现图则亦被矞云拿走，重创之下不支晕倒。矞云往总管府送造船图则，竟意外发现范东城，始悟自己被武祺欺骗误会雪岩。彩云为解雪岩危难前往总管府求情却受辱而归，身心俱受重创，精神失常。矞云携造船图则回胡府认错，雪岩欣慰矞云归来待之依然如故。菱子回到武祺身边希望武祺放过雪岩归还300万巨款，武祺假意答允。矞云誓为雪岩报仇，以造船图则为饵欲刺杀武祺，并劝菱子回到雪岩身边。武祺得范东城报讯，对矞云心存防范，矞云行刺不成反被武祺杀死，临终前得到菱子谅解。雪岩不堪丧子之痛，决意杀武祺报仇。矞云墓前，雪岩决绝的赶走菱子，内心却甚为难过。武祺无亲无友内心孤寂，望着祠堂内一排排灵位痛苦的呼唤着一个个名字。雪岩为报杀子之仇携枪打伤武祺，然见武祺痛苦之状终觉难下杀手黯然离去……武祺为报私怨勾结李鸿章屡屡陷害雪岩，终致雪岩蒙冤获罪、破产抄家。雪岩病势沉重，左宗棠赶来誓为雪岩伸冤，雪岩慨叹自己时日无多，叩别母亲。潺潺清流，一叶扁舟，雪岩一篙在手飘然而去……得知雪岩死讯，武祺陷入疯狂。雪岩灵堂内，武祺赶来发疯的喊着雪岩，随着一声枪响武祺摆脱了痛苦，但他终于没有听到菱子那一声对父亲的呼唤……高楼谁与上，长记秋晴望。往事已成空，还如一梦中！
