瑞清的缫丝厂开工，茧子不够。新成却因一口吃进的茧子太多，作坊工艺又落后，缫不过来。新成无法，想把茧子卖给瑞清。瑞清明白适当的竞争有利于发展，不但没趁机挤兑新成，还帮他加工茧子，甚至答应帮他建起缫丝厂。崔广兴(李方平 饰)买了王家的两个书寓，周村城的四个书寓他就独占其三，以三对一，崔广兴踌躇满志，作为向杨瑞清(张丰毅 饰)打出的第一拳，崔广兴重金买通了金陵十二钗的班头，打算在需要的时候将金陵十二钗挖过来。杨瑞清得知此事，却丝毫不在意。清廷与八国联军作战落败，背上庚子赔款重压。百姓负担加重，苦不堪言。与周村相邻的桓台佃户忍受不了苛捐杂税，发生暴乱，地主弃地逃跑。农民逃到周村讨饭，还去济南上告，局势混乱。桓台县令刘知县跑来周村向谢知县(王亮 饰)求助，希望瑞清能买下被农民荒弃的地，以能逃避重税。瑞清爽快买下所有的地，送给桓台百姓耕种，每年只须交一担茧即可。消息一出，周村城里的难民争先恐后跑回桓台，一场大乱就此平息。瑞清也稳定了蚕茧来源。不仅如此，瑞清还引导农民种先进的条蚕与亚麻，不但帮农民安居乐业，还为自己今后创业埋下了伏笔。
