嘉靖皇帝更沉溺于学道，日夜服药无度，终因服药过多，一命归西。徐阶胸有成竹，从容安排后事，急召张居正，代嘉靖皇帝起草遗诏。戴凤翔因此而知道了消息。海瑞在狱中，抱定杀身成仁的决心，当戴凤翔提着酒肉来到狱中看望的时候，他以为自己死期已到，坦然饮酒吃肉。当听戴凤翔说，皇帝已归天，他出狱有期时，海瑞突然大为悲恸，跪地痛哭，把吃的东西都呕了出来。徐阶和张居正扶太子登基，将嘉靖遗诏公诸天下，代皇帝检讨了生前的一系列错误，并根据这一遗诏，作出拨乱反正的一系列决定，其中之一便是释放海瑞。隆庆即位，徐阶继任首辅，高拱也入阁。朝廷有了一种新的气息。但高拱因为徐阶只找张居正草诏而不找他，心中怨恨，暗地唆使御史齐康用徐阶在遗诏中揭出的嘉靖皇帝的错误_迷信长生，大兴土木_反过来追究当时首辅徐阶的责任，并涉及到徐阶子弟的不法行为。徐阶在猛烈攻击之下，要求告老。皇帝交百官议论。大臣们不知圣意，都含糊其词。只有刚重新入朝的海瑞，替徐阶说了公道话，激烈抨击齐康与高拱结党营私，扰乱朝政。因而与高拱也结下了仇。皇帝批准徐阶退休，让张居正入阁。徐阶回乡之日，张居正和海瑞前来送行。谈起当日海瑞的献诗，徐阶大有感慨。海瑞听张居正纵谈天下利弊及改革方法，与自己看法完全一致，引为知音。张居正也佩服海瑞的耿介，认为治乱世当用烈药。他连连保举海瑞，海瑞在一年中升了三级，但由于高拱作怪，给的都是无关紧要的闲职！海瑞不得已，以辞职相要挟。
